Drake's OVO lifestyle brand is facing a $4.6 million lawsuit from investment firm ARI Growth Capital, which claims the company defaulted on financing agreements tied to its global expansion plans. Financing agreements involving senior secured loans and convertible promissory notes form the basis of the dispute and helped fund the brand's growth efforts during the opening months of 2025.
Filed documents allege OVO made a partial payment of approximately $3.8 million in May, briefly raising hopes that the matter could be resolved without litigation. Those expectations faded when additional payments allegedly failed to arrive, prompting the investment firm to continue pursuing repayment.
ARI says it attempted to work through the dispute before heading to court. According to the firm's allegations, OVO entered a forbearance agreement acknowledging the debt during a formal workout process but later indicated no further payments would be made, leading to the lawsuit filed in British Columbia's Supreme Court.
OVO faces the dispute at a pivotal moment for the company. Reports indicate OVO is in discussions to sell a 50 percent stake to Authentic Brands Group, a licensing powerhouse whose portfolio includes major fashion, sports, and entertainment properties. Sources familiar with the negotiations say the talks could significantly expand OVO's licensing and retail reach if a deal is completed.
Authentic Brands Group manages an extensive collection of consumer and celebrity properties, including rights connected to figures such as Elvis Presley, Kevin Hart, Muhammad Ali and Shaquille O'Neal. A partnership would place OVO alongside one of the most aggressive licensing operators in the apparel industry.
Founded by Drake, Oliver El-Khatib and Noah "40" Shebib, OVO has grown from a music collective into an international apparel and lifestyle business with flagship stores in multiple cities. OVO previously announced financing from Applied Real Intelligence, known as A.R.I., to support expansion initiatives.
Neither OVO nor ARI had publicly detailed their positions on the lawsuit at the time of the reports. With a multimillion-dollar court battle unfolding alongside high-stakes acquisition discussions, the outcome could influence both the company's ownership structure and its future growth strategy.
