Jay-Z's previously undisclosed $20 million loan to Uncle Nearest has resurfaced at the center of a proposed sale that could reshape the future of the financially troubled whiskey company. Material submitted during the receivership shows an unidentified Black-owned investment firm has signed a letter of intent to acquire the brand, prompting renewed interest in who is positioned to take control.
Receiver Phillip G. Young Jr., who has overseen the Tennessee whiskey company during receivership proceedings, disclosed the proposal before a judge. Any deal would still require approval, and a formal purchase agreement is expected within roughly 45 days.
Interest in the proposed sale intensified after receivership disclosures outlined a $20 million loan connected to MarcyPen Capital, an investment group associated with the rapper, as reported by The Lynchburg Times. Money linked to the loan was transferred into accounts controlled by Grant Sidney, a holding company tied to founder Fawn Weaver, becoming a key element in the dispute over Uncle Nearest's finances.
The prospective buyer remains unnamed under a confidentiality agreement. The purchaser is described as an investment firm with African American ownership and leadership that intends to keep the existing workforce, strengthen sales partnerships and preserve the legacy of Nathan "Nearest" Green, the formerly enslaved distiller whose story became the foundation of the brand.
Behind the proposed takeover sits a company carrying more than $200 million in debt. A judge recently determined Uncle Nearest could not meet its financial obligations, while Farm Credit Mid-America claims it is owed more than $120 million.
The loan tied to his investment interests surfaced as a significant obligation linked to the company's financial problems. Publicly available material does not identify him as the buyer or connect him directly to the proposed purchase.
His history in the spirits business includes several high profile transactions. He sold half of Armand de Brignac to LVMH and later sold a majority stake in D'Ussé while retaining a minority interest, deals that placed him among the most influential figures in the luxury beverage market.
A confidentiality agreement continues to shield the firm's identity. Once purchase terms are presented for approval, details about ownership, financing and the direction of Uncle Nearest are likely to become clearer.
